NOTARY PARTNER AGREEMENT (Independent Contractor Agreement)

TruvaLink Notary Partner Agreement

This Notary Partner Agreement (“Agreement”) is made between TruvaLink Notary (“Company”) and the applying Notary (“Contractor”). By applying, creating an account, or accepting an assignment, the Contractor agrees to the following terms:

1. Independent Contractor Status

The Contractor is an independent contractor, not an employee, agent, representative, or partner of TruvaLink Notary.
Nothing in this Agreement creates an employment relationship. Contractor is responsible for:
• All federal, state, and local taxes
• Their own insurance, costs, travel, and equipment
• Maintaining state-required bonds and notary commission
• Compliance with state notary laws

2. Requirements for Participation

Contractor must maintain:
• An active, valid notary commission
• A government-issued ID
• E&O insurance (strongly recommended)
• Reliable transportation
• A functioning smartphone or computer
• Professional conduct at all times

Failure to maintain these requirements may result in removal.

3. Assignment Distribution

TruvaLink Notary does not guarantee assignments.
Assignments are distributed based on:
• Location
• Availability
• Performance
• Professionalism
• Preferred vs. Network status
• Client demand
• Timeliness and previous reliability

Assignments may be modified, withheld, or canceled at the Company’s sole discretion.

4. Compensation

Compensation varies by assignment type.
Preferred Notaries may earn up to 70% of eligible signing fees.

Payments are issued after:
• Completion of the assignment
• Approval of scanbacks or reporting
• Confirmation that instructions were followed

Contractor agrees that:
• Payment may be adjusted for errors
• Payment is not guaranteed until approved
• Compensation is per assignment, not hourly
• No benefits, reimbursements, or salaries are provided

5. Conduct & Compliance

Contractor must comply with:
• All federal and state notary laws
• Identity verification requirements
• UPL (Unauthorized Practice of Law) restrictions
• Confidentiality standards
• TruvaLink Notary’s instructions and policies

Contractor may not:
• Explain legal documents
• Interpret loan terms
• Provide legal advice
• Select documents for signers
• Modify lender or title documents

6. Remote Online Notarization (RON)

Contractor performing RON services must:
• Use approved platforms only
• Follow electronic recordkeeping rules
• Maintain required journal entries
• Ensure secure identity verification
• Provide stable connectivity

The Company is not responsible for technical failures.

7. Liability & Indemnification

Contractor agrees to indemnify and hold harmless TruvaLink Notary for all losses arising from:
• Contractor errors
• Missed or incorrect notarizations
• Failure to follow state law
• Misrepresentation
• Breach of confidentiality
• Late or incomplete work

8. Termination

TruvaLink Notary may terminate this Agreement at any time for any reason, including:
• Poor performance
• Policy violations
• Unprofessional behavior
• Repeated lateness or cancellations
• Client complaints

9. Entire Agreement

This Agreement represents the full agreement between the parties and supersedes all prior communications.
